1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Univerance Labs ("Company," "we," "us," or "our"), governing your access to and use of the Sentinel platform, including the website at sentinel.univerancelabs.com, all associated APIs, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
You represent that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Sentinel is an AI-powered security monitoring platform that helps users assess and monitor the security posture of their digital accounts and assets. The Service allows you to:
- Register "protected accounts" such as email addresses, social media handles, domains, devices, and cloud services for monitoring
- Run AI-driven security scans that analyze your protected accounts for potential threats, vulnerabilities, data exposures, and anomalies
- Receive threat reports, risk assessments, and security recommendations
- Configure email-based alerts for detected threats
- Access historical scan data within your plan's retention window
Important Limitations:
- Sentinel is a security assessment and monitoring tool. It does not provide active threat prevention, firewall protection, antivirus functionality, or real-time intrusion detection.
- Sentinel does not guarantee the detection of all threats. No security tool can provide absolute protection. Scan results are based on the information available to our AI analysis engines at the time of the scan.
- Sentinel should be used as one component of a comprehensive security strategy, not as your sole security measure.
- The accuracy of scan results depends on the completeness and correctness of the information you provide about your protected accounts.
3. Account Registration and Responsibilities
3.1 Account Creation
To use the Service, you must create an account by providing a valid email address. Authentication is handled via passwordless email magic link. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
3.2 Account Security
You are responsible for maintaining the security of the email account associated with your Sentinel account, as it serves as your sole authentication method. You must notify us immediately at legal@univerancelabs.com if you become aware of any unauthorized access to or use of your account.
3.3 Account Restrictions
You may only maintain one account per individual. Accounts are non-transferable. You are responsible for all activity that occurs under your account, whether or not you authorized such activity.
4. Subscription Plans, Billing, and Cancellation
4.1 Subscription Tiers
The Service is offered in the following tiers:
- Free — $0/month. Includes 1 scan per day, up to 3 protected accounts, and 7-day scan data retention.
- Shield — $14/month. Includes 10 scans per day, up to 15 protected accounts, 30-day scan data retention, and access to 4 analysis engines.
- Fortress — $39/month. Includes unlimited scans, unlimited protected accounts, 365-day scan data retention, all 6 analysis engines, and API access.
We reserve the right to modify plan features, pricing, and limits. Any changes to paid plan pricing will take effect at the start of your next billing cycle, and we will provide at least 30 days' notice before such changes take effect.
4.2 Billing
Paid subscriptions are billed on a monthly recurring basis through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on file on a recurring monthly basis. All fees are stated in U.S. dollars and are exclusive of applicable taxes.
4.3 Cancellation
You may cancel your paid subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period. After that, your account will revert to the Free tier.
4.4 Refunds
No refunds are provided for partial billing periods. If you cancel mid-cycle, you retain access to your paid features until the end of the current billing period. We do not prorate refunds for unused time.
4.5 Plan Downgrades
If you downgrade from a higher tier to a lower tier, the change takes effect at the start of your next billing cycle. Upon downgrade, data exceeding the new plan's retention period may be automatically deleted in accordance with the retention policy of your new plan. Protected accounts exceeding the new plan's limit will be deactivated (not deleted); you may choose which accounts to keep active.
5. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You expressly agree not to:
- Use the Service to scan, monitor, or analyze accounts, systems, domains, or assets that you do not own or do not have explicit written authorization to monitor
- Use the Service to facilitate, plan, or execute any unauthorized access, attack, or exploitation of any system, network, or account
- Use scan results or threat intelligence obtained through the Service to harm, harass, stalk, or threaten any individual or entity
- Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or underlying architecture of the Service or its AI analysis engines
- Circumvent, disable, or interfere with any security, rate-limiting, or access control features of the Service
- Use automated tools (bots, scrapers, or similar) to access the Service except through our officially provided API (Fortress tier only)
- Resell, sublicense, or redistribute access to the Service or its outputs without our prior written consent
- Submit false, misleading, or fraudulent information to the Service
- Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure
- Violate any applicable local, state, national, or international law or regulation in connection with your use of the Service
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, at our sole discretion, with or without notice.
6. Intellectual Property
6.1 Our Property
The Service, including its software, AI models, algorithms, user interface, design, text, graphics, logos, and all other content and materials (collectively, "Sentinel Materials"), are owned by or licensed to Univerance Labs and are protected by copyright, trademark, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Sentinel Materials except for the limited right to use the Service as expressly permitted herein.
6.2 Your Data
You retain ownership of the data you provide to the Service (such as account identifiers and configuration settings). By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing and improving the Service, as further described in our Privacy Policy.
6.3 Scan Results
Scan results and threat reports generated by the Service are provided for your personal or internal business use only. You may not publicly redistribute, sell, or commercially exploit raw scan outputs without our prior written consent.
6.4 Feedback
If you provide feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use such feedback for any purpose, including improving the Service, without any obligation or compensation to you.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNIVERANCE LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from security threats, breaches, or incidents that the Service failed to detect or adequately assess
- Damages arising from unauthorized access to your accounts, even if such access occurred during or after a Sentinel scan
- Damages resulting from any interruption, suspension, or termination of the Service
- Damages arising from reliance on scan results, recommendations, or threat assessments provided by the Service
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
YOU ACKNOWLEDGE THAT SENTINEL IS A SECURITY ANALYSIS TOOL AND NOT A SECURITY GUARANTEE. THE SERVICE PROVIDES ASSESSMENTS BASED ON AVAILABLE DATA AND AI-DRIVEN ANALYSIS, WHICH MAY NOT DETECT ALL THREATS. YOU ACCEPT FULL RESPONSIBILITY FOR YOUR OWN SECURITY DECISIONS AND ACTIONS.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, UNIVERANCE LABS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
- ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF SCAN RESULTS, THREAT ASSESSMENTS, OR SECURITY RECOMMENDATIONS
- ANY WARRANTY THAT THE SERVICE WILL DETECT ALL SECURITY THREATS, VULNERABILITIES, OR DATA EXPOSURES AFFECTING YOUR PROTECTED ACCOUNTS
No advice or information, whether oral or written, obtained from us or through the Service shall create any warranty not expressly stated in these Terms. You use the Service at your sole risk.
9. Data Handling and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and share your information. By using the Service, you consent to the data practices described in the Privacy Policy.
You acknowledge that the Service processes information about your protected accounts using third-party AI services (specifically, Anthropic's Claude API) and that such processing is necessary for the Service to function. For details on how your data is handled during AI processing, please refer to the Privacy Policy.
10. Termination
10.1 Termination by You
You may terminate your account at any time by contacting us at legal@univerancelabs.com or through your account settings. Upon termination, your right to use the Service ceases immediately. If you have an active paid subscription, cancellation and refund terms in Section 4 apply.
10.2 Termination by Us
We may suspend or terminate your account, with or without notice, if we reasonably believe that you have violated these Terms, including the Acceptable Use Policy. We may also terminate or suspend the Service (in whole or in part) at any time for any reason, including but not limited to business, legal, or technical reasons, with reasonable notice where practicable.
10.3 Effect of Termination
Upon termination, we will delete your account data in accordance with the retention and deletion practices described in our Privacy Policy. Sections 6 (Intellectual Property), 7 (Limitation of Liability), 8 (Disclaimer of Warranties), 11 (Governing Law), and any other provisions that by their nature should survive, will survive termination.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of California. You consent to the personal jurisdiction of such courts and waive any objection to venue therein.
Before initiating any formal legal proceeding, you agree to first contact us at legal@univerancelabs.com and attempt to resolve the dispute informally for at least thirty (30) days.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. For material changes — including changes to billing, liability, or data handling provisions — we will provide at least thirty (30) days' advance notice by sending an email to the address associated with your account and by posting the updated Terms on the Service with a revised "Effective Date."
For non-material changes (such as typographical corrections or clarifications that do not alter your rights or obligations), we may update the Terms without prior notice. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and terminate your account.
13. General Provisions
13.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Univerance Labs regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
13.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
13.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
13.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, third-party service outages, or cyberattacks.
